3-Party Escrow Agreement

A three party agreement is a one-on-one escrow arrangement between a supplier, one specific licensee/user and Escrow4all as escrow agent. The user is the only beneficiary of the escrow deposit. This type of arrangement is especially interesting for customized applications or situations where users infrequently ask for Software Escrow.

Legal

All issues discussed are included in a transparant escrow contract. As a three party agreement is exclusive for one licensee it can easily be modified inline with the wishes of licensee and licensor. The role of Escrow4all in this is to advise and check the practical implementation and legal position of all parties.

Technical

Escrow4all executes a VerifOne basic check for each deposit. Our basic verification is more advanced than that of other escrow agents as we actively verify that source code of the licensed product is present. Within days after completion of the verification parties are provided with an extensive verification report detailing the results.

Update

As software is a “living entity” it is often updated. Our standard agreement includes 2 updates per year and if a higher frequency is required we can easily accommodate this. Additional updates can be provided whenever new source code becomes available.
