What is Digital Escrow and how does it work?

What is Digital escrow 2026

What happens to your business-critical software if your supplier goes bankrupt or stops maintenance? Or to a SaaS application if the service experiences an unexpected long-term outage? A failure, even a long one, initially falls under SLA agreements and disaster recovery.

Digital Escrow comes into play when the supplier is structurally no longer able or willing to deliver, and only according to the release conditions in the agreement. In short, organizations that depend on an external supplier for important processes face a continuity risk if they do not have a clear view of this. Escrow offers a way to mitigate that risk.

What does Digital Escrow mean?

With escrow, agreements are made in advance regarding the securing and potential release of important digital materials. An independent third party, the escrow agent, stores source code, technical documentation, or data, for example.

As a user, you do not automatically gain access to it. The escrow agreement specifies the circumstances under which the material may be released. Such an arrangement provides security for you as a user, without the supplier involved having to give up their intellectual property. As long as there is no valid reason for release, the deposited material remains protected.

What forms of escrow are there?

Het is belangrijk om je te realiseren dat niet elke IT-omgeving om dezelfde oplossing vraagt.

With Software Escrow, source code and technical documentation, among other things, are securely deposited. With SaaS Escrow, another issue also comes into play: the application runs outside your own IT environment. Continuity then requires not only source code, but also access to the application and the associated data. In the event of a disaster, Escrow4all takes over the financial responsibility for hosting to ensure continuity.

Data Escrow focuses on situations where an organization does not have direct or unconditional access to important data. This concerns business-critical data held by a supplier or cloud provider, which you want to be able to retrieve independently in the event of supplier failure or breach of contract. Or for which you want to provide an extra layer of protection.

Daarnaast onderscheiden we Registry Data Escrow en My Source Code Escrow.

A deposit must remain usable

Simply storing material once and then ignoring it is not enough. Software changes, new versions are released, and documentation is updated. That is why we work with active escrow arrangements. The material is updated according to the agreed frequency and can be verified.

Escrow therefore consists of more than just storing files. The agreements on what is deposited, how the material is maintained, and when it can be released ultimately determine the true value of an escrow arrangement in the event of a supplier failure.
