What is Software Escrow, and how does it work again?

Wat is Software Escrow en hoe werkt het ook alweer? | Escrow4all

Say your organization relies on software that’s essential to day-to-day operations. The vendor maintains the application and holds the source code. But what happens if that vendor goes bankrupt or can no longer provide maintenance and support? Software Escrow is designed to protect you against exactly that risk.

How does Software Escrow work?

With Software Escrow, the source code of an application is deposited with an independent escrow agent, like us. We don’t just store the materials securely. Under an active escrow arrangement, we also make sure they’re verified and updated according to the agreed terms.

A typical arrangement involves three parties: the software vendor, the user (or licensee), and the independent escrow agent. So how does that work in practice? The vendor deposits the agreed materials with us. As the user, you can’t simply access them whenever you want. The exact conditions for release are set out in advance in a clear escrow agreement.

Are multiple users or licensees involved? Then a master agreement with multiple beneficiaries is an option. This creates a single umbrella arrangement under which multiple users can rely on the same escrow, subject to predefined terms. It keeps the setup efficient and gives every beneficiary clarity on when the deposited materials can be released.

When might you need Software Escrow?

Your critical business processes may depend heavily on a single software vendor. If that vendor drops out of the picture, you don’t want to lose the ability to maintain, fix, or modify the software along with it.

That’s why the escrow agreement defines the situations in which a release can take place. Think bankruptcy, discontinued maintenance and support, or a breach of contract that isn’t remedied within the agreed timeframe. Until one of those situations occurs, the deposited materials stay protected. In other words, the arrangement explicitly accounts for both sides of the agreement: your need for business continuity and the vendor’s interest in protecting its intellectual property.

Escrow4all also offers a two-party master agreement (one vendor, many users, through a third-party beneficiary clause). That makes it especially relevant for software and SaaS vendors.

What gets deposited?

Source code is the core of a Software Escrow deposit, but source code alone isn’t always enough. The documentation and instructions needed to maintain, interpret, compile, and install the code can also be part of the deposit.
